Notice is given that the 2011 Annual General Meeting of Members of The Interactive Advertising Bureau of New Zealand Incorporated trading as IABNZ (the “Society”) will be held at Microsoft NZ, Level 5, 22 Viaduct Harbour, Auckland commencing at 3.00pm.

Special Business(a) Fees
(i) Membership Fees will be set at a more equitable fee structure to be adopted for the upcoming financial year – 1st April 2012

(ii) An annual anniversary date will be implemented to coincide with the start of the financial period across all members to ease the reporting of accounts.

Explanatory noteRule 8.6 allows for the Board to set any membership dues at the discretion of the Board.  The Board has been through an extensive review process & will introduce membership fees based on % of revenue starting next financial year 1 April 2012.

 (b) Election of Committee Members
(i) Craig Delany, Matt Duder, and Steve Crowe are to retire by agreement in accordance with Rule 9.3
(ii) New nominations: Craig Delany (Metservice), Steve Crowe (ThisSideUp), Grant Hyland (VIM), Justine Chevin (3DInteractive)

Explanatory noteRule 9.3(a) of the Society’s Rules requires that one Board position from Tier Two Members and one position from Tier Three Members be elected onto the Board annually.  Applicants for Board Membership must be nominated by a Full Member and seconded by another Full Member. The Board has also allowed for applications from Tier 4 Members. The Society’s Rules do not provide for any re-election ineligibility, therefore retiring Members are eligible for re-election. Rule 9.3 specifies a majority vote for nominated members must be held to fill the three vacant positions.

The Board may also invite extra members to join the Board at their discretion.
